Annual statements and group consolidation

F1010, F1020 and F1030 — the annual financial statements built from the ERP ledger, in RAS and IFRS, with group consolidation and automatic validation.

The annual financial statements are not an isolated exercise — they are the sum of the year, reported to ANAF, ONRC and the Ministry of Finance. For limited companies and NGOs the statutory deadline is 30 May of the following year, so the 2025 statements are due by 30 May 2026. Micro-companies file the simplified F1010; companies on profit tax file F1020. 4softerp builds all three modules — balance sheet, profit and loss account, and statement of changes in equity — from each company ledger, in parallel under RAS and IFRS, checks that they agree with one another and produces the files for electronic filing. For groups, multi-company consolidation (F1030) happens in the same platform, with intra-group transactions eliminated.

  • F1010 — simplified financial statements for micro-companies (turnover below EUR 1,000,000).
  • F1020 — full financial statements for companies on profit tax.
  • F1030 — consolidated financial statements for groups, produced from the ERP consolidation.
  • Parallel RAS and IFRS reporting from the same group chart of accounts.
  • Automatic validation: assets equal equity plus liabilities; the profit and loss result equals the result for the year; agreement with the trial balance at 31 December.
  • The 30 May deadline tracked per company; statements can be prepared from March for early filing.
  • Parallel reporting to ANAF (D101 for profit tax or micro-company tax) and the files for ONRC.
  • Ten-year archive: PDF plus an XBRL file to the European ESEF standard.

What the annual statements contain under OMFP 1802/2014

The statements have three mandatory modules: the balance sheet itself — the company as it stood on 31 December, with assets equal to equity plus liabilities; the profit and loss account, covering income and expenses for the year and the net result; and the statement of changes in equity. For micro-companies, F1010 reduces this to a short format of roughly 30 balance sheet lines and 20 in the profit and loss account. For companies on profit tax, F1020 runs to more than 200 lines and seven annexes covering receivables, payables, fixed assets and stock. 4softerp populates every line from the 31 December trial balance, mapping accounts onto the correct form.

The 30 May deadline and what late filing costs

The deadline is 30 May for limited companies and 30 April for NGOs. Filing late brings an ONRC fine of RON 400 to 1,600 for a limited company and double that for an NGO; a partial block, in that the company cannot draw loans, bid for public tenders or complete mergers and demergers; and tax penalties, since article 336 of the Procedural Tax Code sets fines of RON 1,000 to 14,000 for filing D101 late. Because the figures come from the ERP ledger, you can close the year and have the statements ready in early March, leaving time to review them well before the deadline.

Micro-company against profit tax: what changes in the statements

Micro-companies — turnover below EUR 1,000,000 in 2026, of which at least 80% from actual trading — file F1010, a simplified balance sheet, and pay 1% (with employees) or 3% (without). Companies above the threshold, or those that elected profit tax, file F1020 plus D101 at 16% of profit. The transition takes effect on 1 January of the following year; 4softerp tracks turnover against the threshold in real time and warns you early enough to plan the tax scenario. Changing the regime in the ERP reconfigures the reporting form automatically.

Keeping the statements, the trial balance and the tax returns in agreement

The annual statements have to agree with the trial balance at 31 December — the same gross result — with the twelve monthly D300 returns, with D394 for domestic turnover and with D390 for intra-EU operations. Because all of them come from the same ledger in 4softerp, the ERP runs consistency checks before the statements are finalised. Any discrepancy is flagged, usually resolved with a corrective D710 for the affected month, after which the statements recalculate from the updated figures.

Frequently asked questions

What exactly is the filing deadline for the 2025 statements?

For the 2025 financial year the deadline is 30 May 2026 for limited companies and 30 April 2026 for NGOs. Extensions of up to 90 days can be requested with justification, but are granted almost exclusively for documented force majeure.

Do micro-companies have to file annual statements?

Yes. Every legal entity files annual statements regardless of size or tax regime. Micro-companies file F1010, the simplified form; companies on profit tax file F1020, the full form.

What happens if the filed statements do not agree with the monthly D300 returns?

A discrepancy is a direct signal to ANAF and can trigger checks. 4softerp runs consistency validations between the statements, the trial balance, D300, D394 and D101 before you finalise. Where a discrepancy appears, you correct it with a retroactive D710 for the affected month and the statements recalculate automatically.

Do the statements have to be audited?

A statutory audit is required where a company meets two of three criteria: turnover above EUR 8,000,000, total assets above EUR 4,000,000, or more than 50 employees. Below those thresholds it is optional, and the simplified F1010 does not require one. 4softerp gives an external auditor the journals, trial balances and SAF-T files they need, under role-based access.

Can I see the statements before filing them?

Yes. The statements can be generated at any point after the year is closed, because the figures come from the ERP ledger. You review them, lock the period once you are satisfied and export the files for electronic filing. Any adjustment recalculates immediately.

How does the ERP handle statements across several companies?

Each company in 4softerp has its own statements, built from its own ledger. For groups, the consolidation module combines the individual statements, eliminates intra-group transactions and produces the consolidated set (F1030), so you see both the individual company and the consolidated group picture.
